Welcome to Digital Elementz Media Group Inc. (DEMG), a graphic design and print agency. These Terms and Conditions govern your use of our services and products. By accessing or using our website, placing an order, or engaging with our services, you agree to be bound by these Terms. Please read them carefully.


1. General

1.1 Acceptance:
By using our services, you confirm that you are at least 18 years of age or have obtained the consent of a parent or legal guardian.

1.2 Modifications:
We reserve the right to modify or update these Terms at any time without prior notice. Continued use of our services constitutes acceptance of the most current version.


2. Ordering

2.1 Product Information:
We make every effort to provide accurate and up-to-date information about our products and services. However, errors or omissions may occur. We reserve the right to correct inaccuracies or update details without notice.

2.2 Order Placement:
By placing an order, you agree to provide accurate, complete, and current information. DEMG reserves the right to refuse or cancel any order at our discretion.

2.3 Proofing:
Clients are responsible for reviewing and approving all proofs before printing or production. DEMG is not responsible for errors, omissions, or design issues once a proof has been approved.

2.4 Cancellations:
Orders cannot be guaranteed for cancellation once production has begun. Fees may apply if materials or labour have already been incurred.


3. Pricing and Payment

3.1 Pricing:
All prices are displayed in Canadian Dollars (CAD) and are subject to change without notice.

3.2 Taxes and Fees:
Applicable taxes, duties, or fees will be added to your invoice as required by law.

3.3 Deposits and Payments:
A 50% deposit is required prior to commencement of any project, production, or scheduling. Remaining balances are due within 30 calendar days (Net 30) from the invoice date.

3.4 Late Payments:
Invoices not paid within 30 days are subject to a 2% monthly interest charge (24% per annum) or the maximum permitted by law. DEMG reserves the right to suspend ongoing work or withhold deliverables until payment is received. Clients shall also be responsible for any legal or collection fees incurred.

3.5 Refunds:
Refunds are issued at the discretion of DEMG and are subject to our Refund Policy.


4. Delivery

4.1 Shipping:
We make reasonable efforts to deliver within estimated timeframes but are not liable for carrier delays, customs processing, or events beyond our control.

4.2 Risk of Loss:
Ownership and risk transfer to the client upon delivery. Please inspect orders immediately and report issues within 48 hours of receipt.


5. Publicity & Portfolio Use

5.1 Project Completion Rights
Unless prohibited by law, DEMG retains the unrestricted right to photograph, record, and display completed projects for marketing, promotional, and portfolio purposes—including social media and website use.


6. Branding, Apparel & On-Site Policy

6.1 Branded Apparel Requirement:
All DEMG staff and subcontractors are required to wear company-branded apparel or identification while performing work, installations, or site visits. This policy ensures professionalism, safety, and accountability.
Requests to conceal or remove branding must be made in writing and approved by DEMG prior to the scheduled service date. Such restrictions may result in administrative or compliance costs.

6.2 Conduct & Representation:
While on-site, DEMG staff represent the company’s professional image and adhere to applicable safety, facility, and access guidelines as provided by the Client or venue.


7. Insurance Coverage

Digital Elementz Media Group Inc. maintains comprehensive business insurance, including general liability and property coverage, to protect both parties against accidental property damage, bodily injury, or other incidents occurring during the performance of contracted work.
Proof of insurance can be provided upon request. Clients are responsible for notifying DEMG in advance of any site-specific insurance requirements or access documentation. 


8. Confidentiality & NDAs

Confidentiality applies only to proprietary, internal, or non-public information expressly identified as confidential. Work conducted at public events, open venues, or spaces visible to the public shall not be considered confidential unless specifically agreed to in writing before work begins.
These Terms take precedence over conflicting terms in NDAs, purchase orders, or vendor documentation unless otherwise agreed to in a mutually signed contract.


9. Intellectual Property

9.1 Ownership:
All intellectual property created by DEMG—including designs, layouts, mockups, and materials—remains the property of DEMG until full payment is received. Upon full payment, rights to use final deliverables transfer to the Client for their intended purpose.

9.2 Client-Provided Materials:
By submitting logos, artwork, or materials, the Client warrants they have legal rights to use them and grants DEMG a non-exclusive license to reproduce, modify, and use such materials solely for fulfilling the project.


10. Limitation of Liability

All services are provided “as is” without warranties of any kind, express or implied. DEMG’s liability, whether in contract, tort, or otherwise, shall not exceed the total amount paid for the specific project giving rise to the claim.
DEMG shall not be liable for indirect, incidental, or consequential damages.


11. Governing Law

These Terms are governed by the laws of the Province of Ontario, Canada, and any disputes shall be subject to the exclusive jurisdiction of the courts of Ontario.

Artwork Upload Instructions

Your files will be processed by a DEMG pre-press technician to maximize print quality and guarantee results.

  1. Accepted file formats – We accept files in pdf, .jpg, ,.jpeg, .png, .psd, .eps, or .ai.
  2. Colour Profiles – RGB vs CMYK? While some printers can print in RGB mode, the conversion process to CMYK may produce unexpected results. It’s recommended to use a CMYK profile to match the printer process Ensure that your PDF is high resolution and that all images are using CMYK profile at 300 DPI.
  3. Fonts – All fonts must be outlined (not embedded). This avoids us having to find your font’s when prepping your file for print.
  4. Dieline’s must be a single path stroked using a separate spot colour called Dieline and should be on its own layer.
  5. Vector Graphics – Please provide vector only artwork for type, logos, shapes and all other artwork. Only provide embedded raster artwork for actual 4/C images.
  6. Black & Rich Black – Black type should have the following values: CMYK 0/0/0/100. For “Rich black” we recommend using CMYK 40/40/40/100.
  7. Trim & Bleeds – The trim size of the Illustrator file must match the final trim size of the label. For bleed, we recommend a minimum of 0.125 inches all around.
  8. Double Sided Printing – Files must be submitted with the correct orientation to ensure proper back up.
  9. Spot UV, Metallic Foils & White ink printing – For orders with custom finishing please supply a single file for your CMYK printing (if necessary) and a separate file with your spot UV layer representing the custom finish. Remember to set overprints on any Dieline.
  10. Unnecessary Objects – Make sure to DELETE any hidden layers that are not intended to print (ie: setup guides, unused layers or other hidden elements) to ensure no risk of them appearing on the final print.  Please note that form fields, comments, or annotations in PDFs will not be printed.
  11. Borders – It is best to try to avoid using borders in your design. If a border is too close to the trim, the trim may be slightly off-center.
